Sales and Use Tax Policy

Purpose

At CIMcloud, we are committed to full compliance with all applicable state and local sales and use tax regulations. This policy outlines our approach to the collection of sales tax, the submission of exemption certificates, and the responsibilities of our customers regarding tax compliance.

1. Sales Tax Collection

CIMcloud is required by law to collect sales tax on taxable products and services in jurisdictions where we have a tax obligation (nexus) unless a valid exemption certificate is provided. The applicable sales tax rate is determined by the location of the customer and is calculated based on the state and local tax laws of that jurisdiction.

Please note that sales tax will automatically be applied to all taxable sales transactions unless we have a valid and current exemption certificate on file at the time of purchase.

2. Exemption Certificates

Customers who qualify for a sales tax exemption must submit a valid exemption certificate before any tax-exempt transactions can be processed.

  • Exemption certificates must be submitted to finance@cimcloud.com
  • The certificate must be complete, legible, and include all necessary information, such as the exemption reason, certificate number, and issuing state.
  • Incomplete or incorrect certificates will not be accepted, and the customer will remain liable for sales tax until a proper certificate is provided.

3. No Lookback Adjustments

Please be aware that CIMcloud does not process retroactive adjustments for sales tax once it has been collected. If a valid exemption certificate is not provided prior to the transaction, sales tax will be charged, and no refunds or credits will be issued after the fact. It is the customer’s responsibility to ensure that all necessary documentation is submitted in a timely manner.

We strongly advise customers to submit any exemption certificates before any taxable purchases to avoid being charged sales tax. Failure to provide the certificate in advance may result in non-refundable charges.

If you have been charged and paid sales tax but did not provide a valid exemption certificate at the time of purchase, CIMcloud cannot issue a refund or make adjustments. However, you may be eligible to recover the tax directly from your state or local tax authority. To do so, gather your paid invoice, exemption certificate, and any required documentation, then submit a refund request through your state’s Department of Revenue or equivalent agency. For specific instructions, visit your state’s Department of Revenue website or consult a tax professional.

4. Customer Responsibility for Use Tax

In situations where CIMcloud is not required to collect sales tax, customers may be responsible for self-assessing and remitting use tax to their local tax authority. We recommend that customers consult their local tax offices or a qualified tax professional to ensure they are fulfilling all applicable use tax obligations.

5. Ensuring Compliance & Customer Routine Review

To ensure full compliance with this policy and avoid unnecessary tax charges:

  • Verify your exemption status: Confirm with your tax team or a qualified tax advisor that your exemption certificate is accurate, valid, and applies to the appropriate jurisdiction.
  • Submit exemption certificates promptly: Make sure that a valid certificate is provided before any taxable transaction to avoid sales tax charges.
  • Consult tax professionals as needed: If there is any uncertainty about your tax obligations, we recommend consulting with a tax professional or your local tax authority.
  • Monitor: Customers are responsible for routinely monitoring and regularly inspecting their invoices and/or sales receipts to verify that tax calculations are producing expected results.
  • Notify: If there is a change affecting tax status, exemption changes, entity/address change, etc. customers must notify finance@cimcloud.com immediately so that their billing and tax information may be updated in a timely manner.

7. Policy Updates
